[NEW] Corporate Secretary

A corporate secretary has additional complex role compared to the typical office administrative assistant who performs tasks such as scheduling meetings, taking minutes and providing other secretarial support. Within any organization, a Corporate Secretary’s duties include ensuring the integrity of the governance framework, being responsible for the efficient administration of a company, ensuring compliance with statutory and regulatory requirements and implementing decisions made by the Board of Directors.


  • Senior Leadership Scheduling & Logistics
    o Maintain schedules for executives
    o Arrange appointments (intro, setup appointment, follow-ups)
    o Prepare logistics (transportation, lodging, venue, foods)
  • Senior Leadership Representatives
    o Represent senior leadership when they’re unable to attend an event/meeting
    o External party reps especially for a HQ visit
  • Corporate Agenda Execution
    o Senior Leadership Weekly Meeting (90 minutes)
    o Senior Leadership Monthly Brainstorming (Saturday, 8.30-12.00)
    o Senior Leadership Quarterly Strategic Meeting (3 hrs)
    o Senior Leadership 1on1 Monthly Meeting (2 hrs each)
    o Board Meetings (Quarter, Semester)
    o Annual Shareholders Meeting
  • Record Keeping
    o MoM Keeping on each Corporate Agenda
    o Company Reports Management (Monthly, Quarterly, Yearly)
    o Senior Leadership Contacts Record Keeping
    o Data, Market Research, Reports, etc. Maintenance.
  • Materials and Presentation
    o Manage corporate private and public materials & presentation
    o Support senior leadership on building presentation materials
  • FUTURE Responsibilities:
    o Subsidiary Management (provide orientation, education and training to new directors)
    o Acting as adviser to the company directors
    o Liaising with auditors, lawyers, tax advisers, bankers and shareholders on board governance issues
    o Handle company share transactions – issuing new shares, arranging dividend payments and observing all legal requirements
    o Ensure compliance obligations under relevant laws and the requirements of regulatory authorities are met (e.g., stock exchange)
